1. DESCRIPTION: NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. The "FOX Fantasy Football-Lunch with LT Sweepstakes" ("Sweepstakes") begins at 12:01 AM Pacific Time ("PT") on Thursday, June 5, 2008 and ends at 11:59 PM PT on Friday, September 26, 2008 ("Sweepstakes Period"). During the Sweepstakes Period, all eligible entrants who will be entered to win the opportunity to have lunch with LaDainian Tomlinson, as described in Section Four (4) of these Official Rules. The sponsor of this Sweepstakes is Fox Sports Interactive Media, LLC, 2121 Avenue Of The Stars, Los Angeles, CA 90067 ("Sponsor"). The Sweepstakes is hosted by msn.foxsports.com ("Website"). The administrator of this Sweepstakes is Creative Zing Promotion Group ("Administrator"), 100 East Pine Street, Suite 201, Orlando, FL 32801.

2. ELIGIBILITY: Sweepstakes is open only to legal residents of the 48 contiguous United States and Washington, DC, who are at least 18 years of age or the age of majority in their state of primary residence at the time of entry ("Entrant"). Entrant must have internet access as of June 4, 2008. Each Entrant must be the rightful owner (or have authorized use) of the e-mail address identified in the Entrant's entry. In the event of a dispute as to the identity of a winner, the winner will be deemed to be the natural person in whose name the e-mail account associated with the provided e-mail address was opened. Employees, shareholders, officers, directors, agents, and representatives of Sponsor, Administrator, Fox Sports, foxsports.com, (collectively, "Sweepstakes Entities") and each of their respective parent companies, affiliates, divisions, subsidiaries, agents, representatives and promotion and advertising agencies, together with the immediate family members and those living in the same household of such persons, are not eligible to participate in the Sweepstakes. Sweepstakes void where prohibited.

3. HOW TO ENTER: Entrants may participate in the Sweepstakes by logging on to the Sweepstakes page located at msn.foxsports.com/fantasy/football/commissioner ("Sweepstakes Homepage"). There are two (2) separate opportunities to enter and win. Entry Method A/Prize A: Follow the on-screen instructions to completely and accurately provide all of the requested Fantasy Football registration information. Once the Entrant registers and drafts a team, the Entrant will receive one (1) Sweepstakes entry into the Prize A random drawing. Entry Method B/Prize B: Following the successful completion of the Fantasy Football registration, registered participants will be given the opportunity to invite friends to join Fantasy Football. Invited friends must successfully complete the registration and draft process, plus input the Entrant?s promotional code. The Entrant will receive one (1) entry into the Prize B random drawing for each unique friend who successfully registers, drafts and inputs the promotional code. If more than one (1) Entrant refers the same friend, the Entrant associated with the promotional code will be awarded the Entry. Prize A and Prize B entries will NOT be combined and each prize pool will have a separate random drawing, based on the respective entry methods. All entries must be received by 11:59 PM PT on Friday, September 26, 2008. Limit of one (1) entry per person or e-mail address for Entry Method/Prize A. If entries exceed these limits, then only the most recent entry submitted by the same person or with the same e-mail address will be eligible in the random drawing. Entries generated by a script, macro or other automated means will be disqualified. Entrants must provide all information requested to be eligible to win. Incomplete, unreadable, or unintelligible entries will be disqualified. All information provided by entrants becomes the property of Sponsor. ELIGIBLE ENTRANTS MUST SUBMIT IN ACCORDANCE WITH THESE OFFICIAL RULES. NO OTHER METHOD OF SUBMISSION WILL BE ACCEPTED. Participation in the Sweepstakes constitutes Entrant?s understanding of and full and unconditional agreement to and acceptance of these Official Rules. Sponsor reserves the right to disqualify any Entrant that Sponsor determines to be in violation of any term contained in these Official Rules. Sponsor?s decision not to enforce a specific provision of these Official Rules does not constitute a waiver of that provision or of the Official Rules generally. Odds of winning depend on the number of eligible entries received.

4. PRIZES:

Prize Package A
Grand Prize (1)
One (1) Grand Prize Winner "(Winner") will be selected to receive: one (1) 4 day/3 night trip for two (2) to San Diego. During the trip, the winner and his/her guest will have the opportunity to spend up to two (2) hours with LaDainian Tomlinson ("Talent") for lunch on one (1) day, as determined by the Sponsor. The trip will consist of the following: (a.) round-trip coach air transportation for two (2) to San Diego from the major airport nearest Winner?s residence; (b.) three (3) nights standard hotel accommodations for Winner and his/her guest at a hotel selected by Sponsor (one room; double occupancy and room tax only); (c.) $300 for ground transportation expenses; (d.) $500 in spending money, issued in the form of a check; (e.) lunch for the winner and one (1) guest with Talent (not to exceed two total hours) at a restaurant selected at the sole discretion of the Sponsor. Approximate Retail Value ("ARV") of Grand Prize: $3,400.

Each First Prize Winner will receive: one (1) Wilson NFL Football, autographed by LaDainian Tomlinson. ARV: $50

One (1) Grand Prize Winner "(Winner") will be selected to receive: one (1) 4 day/3 night trip for two (2) to San Diego. During the trip, the winner and his/her guest will have the opportunity to spend up to two (2) hours with LaDainian Tomlinson ("Talent") for lunch on one (1) day, as determined by the Sponsor. The trip will consist of the following: (a.) round-trip coach air transportation for two (2) to San Diego from the major airport nearest Winner?s residence; (b.) three (3) nights standard hotel accommodations for Winner and his/her guest at a hotel selected by Sponsor (one room; double occupancy and room tax only); (c.) $300 for ground transportation expenses; (d.) $500 in spending money, issued in the form of a check; (e.) lunch for the winner and one (1) guest with Talent (not to exceed two total hours) at a restaurant selected at the sole discretion of the Sponsor. Actual Grand Prize value depends on winner?s place of residence and cost and availability of airfare and hotel at time of booking and travel and may be substantially higher or lower than estimated value. Trip dates will be specified by the Sponsor. The winner will be given a minimum of 14 days notice prior to the departure date. Trip must be taken on the dates specified by the Sponsor and failure to travel during the specified times will result in forfeiture of the prize. If a winner lives within 200 miles of San Diego, the Sponsor reserves the right to substitute ground transportation for airfare, in its sole discretion. Sponsor reserves the right to change travel dates and to substitute any or all of these portions of the prize for a prize of comparable or greater value should they become unavailable or impractical for any reason. The time spent with Talent has no associated cash value and in the event of cancelation due to events beyond the Sponsor?s control, no cash equivalent will be offered for this portion of the prize. Guests of the Winner must be at least 18 years of age and not a less than the age of majority in his/her state of residence. Winners will be responsible for any and all federal, state and/or local taxes resulting from acceptance of the prize. Prize winners cannot assign or transfer the prize to another person. No prize substitution is allowed except at the discretion of Sponsor. If a prize cannot be awarded due to circumstances beyond the control of Sponsor, a substitute prize of equal or greater retail value will be awarded; provided, however, that if prizes are awarded but unclaimed/forfeited by recipient, prize may not be re-awarded, in Sponsor?s sole discretion. Other restrictions may apply. Limit one prize per household.

5. WINNER SELECTION AND NOTIFICATION: Winners will be selected in a random drawing conducted by the Administrator from among all eligible entries received, on or about October 6, 2008. The potential winners will be notified by telephone, email and/or overnight mail within approximately five (5) days of the aforementioned drawing date. The potential winners must be able to receive telephone calls from an unlisted and/or blocked number. Messages may not be left. Administrator reserves the right to disqualify anyone not fully complying with the Official Rules. Winners will be required to respond (as directed) to the notification within 72 hours of first attempted notification. The failure to respond timely to the notification may result in forfeiture of the prize and, in such case, Sweepstakes Administrator will randomly select an alternate winner from the remaining eligible entries. Winners may be required to verify address and return within seven (7) days an affidavit of eligibility and liability/publicity release covering eligibility, liability, advertising, publicity and media appearance issues, unless prohibited by law. Failure of any winner to return the executed affidavit and release forms within the specified time period may result in forfeiture of the prize and selection of an alternate winner from the remaining eligible entries for that prize. A prize will not be awarded until all such properly executed forms are returned. Travel companion of grand prize winners must be 18 years of age or older and not a minor in his/her state of residence at the time of travel departure. Travel companions will be required to verify address and to execute before a notary public an affidavit of eligibility and, if permitted by law, liability/publicity release as directed prior to the travel departure date. Failure to return the executed travel companions affidavit and release forms within the specified time period may result in forfeiture of the prize. Both the Winner and the travel companion must agree to a complete background check and Sponsor reserves the right in its sole discretion to suspend the portion of the prize that includes interaction with Talent in the event of a felony act, dangerous or threatening behavior revealed in the background check.

6. CONDITIONS OF PARTICIPATION/RELEASES: Sweepstakes is void where prohibited or restricted by law. All federal, state and local laws and regulations apply. By participating, each entrant agrees to be bound by these Official Sweepstakes Rules and the decisions of the Sponsor and the Sweepstakes Administrator, which shall be final in all respects. By participating in this Sweepstakes and/or by accepting any prize that they may win, each entrant agrees to release the Sponsor and Sweepstakes Administrator; each of their respective parent, subsidiary and affiliated companies, units and divisions and advertising and promotional agencies and prize suppliers; each of their respective officers, directors, agents, representatives and employees; and each of these companies and individuals' respective successors, representatives and assigns (collectively, the "Released Parties") from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance or use of the prize. Each entrant authorizes the Released Parties to use his/her name, voice, likeness, biographical data, city and state of residence and entry materials in programming or promotional material, worldwide in perpetuity, or on a winner's list, if applicable, without further compensation unless prohibited by law. Sponsor is not obligated to use any of the above mentioned information or materials, but may do so and may edit such information or materials, at Sponsor?s sole discretion, without further obligation or compensation. The Released Parties shall not be liable for: (i) late, lost, delayed, stolen, misdirected, postage-due, incomplete, unreadable, inaccurate, garbled or unintelligible entries, communications or affidavits, regardless of the method of transmission; (ii) telephone system, telephone or computer hardware, software or other technical or computer malfunctions, lost connections, disconnections, delays or transmission errors; (iii) data corruption, theft, destruction, unauthorized access to or alteration of entry or other materials; (iv) any injuries, losses or damages of any kind caused by the prize or resulting from acceptance, possession or use of a prize, or from participation in the Sweepstakes; or (v) any printing, typographical, human administrative or technological errors in any materials associated with the Sweepstakes. Sponsor disclaims any liability for damage to any computer system resulting from participating in, or accessing or downloading information in connection with this Sweepstakes. Sponsor reserves the right, in their sole discretion, to cancel, modify or suspend the Sweepstakes (or any portion of the Sweepstakes) should a virus, bug, computer problem, unauthorized intervention or other cause or problem corrupt or inhibit the administration, security or proper play of the Sweepstakes and, in such situation, to select the winner(s) from eligible non-suspect entries received prior to and/or after such action or in such manner as deemed fair and appropriate by the Sponsor. Sponsor may prohibit you from participating in the Sweepstakes or winning a prize if, in their sole discretion, they determine you are attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or any other unfair playing practices of intending to annoy, abuse, threaten or harass any other players or Sponsor?s representatives. This Sweepstakes will be governed by the internal laws of the State of California. Any and all legal actions or claims arising in connection with this Sweepstakes must be brought in a court of competent jurisdiction within the United States. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE THE WEB SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND WILL RESULT IN DISQUALIFICATION FROM PARTICIPATION IN THE SWEEPSTAKES. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.

Requests for the names of the winners must be received no later November 1, 2008. Vermont residents may omit return postage.
